2.1. Quotations
Quotations are provided as cost estimates and a contract will only come into being when we issue a written confirmation of your order, or when we deliver the Translated Works to you. Quotations are given on the basis of your description of the source material, the purpose of the translation and any other instructions. Such quotations may be amended at any time if, in our opinion, the description of the source materials is materially inadequate or inaccurate, but any such price changes must be communicated as soon as possible.
2.2. Delivery deadlines
1. The dates for delivery of the Translated Works are usually 5 working days after confirmation of the order, unless agreed in advance that the translation job will take longer due to capacity issues.
2. Perfect Word reserves the right to delay the date of delivery if changes are made to the document after the order has been confirmed, or if exceptional circumstances arise. In such cases Perfect Word has the obligation to inform the client as soon as possible of such a delay.
2.3. Our Responsibility and Liability
1. The Services shall be carried out using reasonable skill and care in accordance with the standards of the industry. We shall use all reasonable skill and care in selecting translators, interpreters and other personnel used to produce the Translated Works and perform the Services. Despite a high level of staff quality and quality controls (four-eyes principle) Perfect Word cannot warrant that the Translated Works will be error free in terms of their accuracy, correctness, reliability or otherwise.
2. Perfect Word shall not be liable for loss of profits, business, contracts, revenue, damage to your reputation or goodwill, anticipated savings, and or any other indirect or consequential loss or damage whatsoever. Perfect Word must be notified within 30 days of delivery of the Translated Works of any claim arising out of the provision of the Services and /or the Translated Works, together with full details of such Claim.
3. You must notify us within 30 days of delivery of the Translated Works of any alleged inaccuracies in the Translated Works, at which point our liability will be to rectify any such alleged inaccuracies as we agree to be justified.
2.4. Your Responsibility and Liability
1. The client warrants, represents and undertakes that the materials submitted shall not contain anything of an obscene, blasphemous or libellous nature and shall not (directly or indirectly) infringe the Intellectual Property Rights of any third parties. Unless otherwise agreed by us, you shall not, for a period of one year after termination of the Contract, either directly or indirectly, on your own account or for any other person, firm or company, solicit, employ, endeavour to entice away from us or use the services of a translator, interpreter or trainer who has provided Services and/or Translated Works to you on our behalf under the Contract.
2. The client agrees, upon demand, to indemnify us (which for the purposes of this clause includes our employees, agents and sub-contractors), and keep us indemnified, from all losses, damages, injury, costs and expenses of whatever nature suffered by us to the extent that the same are caused by or related to breach of any Intellectual Property Rights of any third party in or to any such Original Works or materials and infringement of any data protection or privacy laws.
3. Training Services
3.1 Group training
One unit of training is generally 45 min or 60 min as agreed. Group sizes are between 2-10 participants.
3.2 Appointments and cancellation
Changes of course times or dates are possible after consultation. Agreed appointments can be postponed or rescheduled by phone or sms to the number 0151-25335631 up to 48 hours prior to the lesson. Lessons cancelled later than 48 hours in advance will be charged for at the full rate. Although the client has no right to claim an alternative appointment for such lessons, an appointment at another time may be offered as a replacement at the discretion of Perfect Word.
3.3 Materials
All training materials will be provided by Perfect Word. Any materials created by Perfect Word for the purpose of training the client’s staff remain the intellectual property of Perfect Word and may not be distributed to third parties without prior consent.
3.4 Reporting and certificates
At the end of each course or at a point in time defined at the beginning of each course Perfect Word will provide a report on the language courses which have come to an end, and provide participation certificates for all participants.
4. Confidentiality & Data Protection
4.1. Intellectual Property
All Intellectual Property Rights (including, but not limited to copyright) in the Original Works and the Translated Works shall belong and continue to belong to the client, but the client hereby grants to Perfect Word (and our sub-contractors) the right to store and use the Original Works and the Translated Works for the duration of the working relationship and for the purposes of providing the Services to you.
4.2. Confidentiality
Confidential information shall only be disclosed to personnel, sub-contractors if necessary for us to provide the services. Neither party may disclose any of the other party's Confidential Information to any person, unless required to do so by law or any regulatory authority.
4.3. Data Protection
Each party shall ensure that in the performance of its obligations under these Terms and Conditions it will at all times comply with relevant provisions of the Data Protection Act (Bundesdatenschutzgesetz) and the General Data Protection Regulations of the EU..
5. Payment
1. Payment is due within 30 days of invoice. Failure to pay any invoice in accordance with the foregoing terms, or other terms specified in the Contract, shall entitle us to suspend further work both on the same order, and on any other order from you.
2. We reserve the right to charge interest on overdue accounts.
